Terms of Service
Minerva is research and backtesting software operated by Minerva One, Inc. It is not investment advice and does not execute live trades.
1. Who we are and what Minerva is
Minerva is a research, backtesting, optimization, model-building, paper-trading, and analytics software service operated by Minerva One, Inc. (“Minerva,” “we,” “us”). You contract solely with Minerva One, Inc. Minerva is software for testing your own trading ideas on historical and simulated data. It is not a broker-dealer, investment adviser, commodity trading advisor, commodity pool operator, exchange, bank, or money transmitter, and it does not hold customer funds or securities.
2. Not investment advice; you bear sole responsibility
All content, outputs, backtests, optimizations, scores, grades, signals, portfolio weights, and AI responses are provided for informational, educational, and research purposes only and do not constitute investment, trading, tax, legal, or other professional advice, a recommendation, or a solicitation to buy, sell, or hold any security or other instrument. You choose your own symbols, strategies, parameters, assumptions, and risk preferences, and you are solely responsible for any decision you make and any result you obtain. Trading involves a high degree of risk and you can lose money.
3. Hypothetical and paper performance
Backtested and simulated results are hypothetical, are prepared with the benefit of hindsight, and have inherent limitations. Past or hypothetical performance does not indicate or guarantee future results. Paper trading is simulated and places no live orders; simulated fills may differ materially from real markets.
4. Eligibility
You must be at least 18 years old and not located in, ordinarily resident in, or accessing the service from a jurisdiction subject to comprehensive US sanctions. You may not use the service in violation of any applicable law.
5. Your content and intellectual property
You retain ownership of the inputs, prompts, strategy text, Pine Script and other code, uploaded or pasted materials, parameters, generated models, and results you create or supply (“Your Content”). You grant Minerva a limited, worldwide, non-exclusive license to host, store, process, transform, display back to you, debug, secure, back up, and support the service using Your Content. Minerva will not use Your Content to train machine-learning models unless you affirmatively opt in. Minerva may compute and use non-attributable aggregate analytics only where its implementation prevents re-identification.
6. Third-party inputs and warranties
If you provide Pine Script, indicators, strategies, or other material created by a third party or a third-party platform, you represent that you have the right to provide it and to have Minerva process it, and you are responsible for complying with the source platform’s terms. Minerva may remove content it believes infringes or violates these Terms (see the DMCA page).
7. AI features
Minerva’s AI features generate code, models, and text. AI output can be wrong, incomplete, or unsuitable. You must review and test everything before relying on it. AI output is not investment advice and is not personalized to your circumstances.
8. Subscriptions, credits, and payment
Paid plans and credits are described at checkout and in the Subscription Terms and Refund/Credit Policy, which are incorporated by reference. Subscriptions renew automatically until cancelled. Credits never expire and have no cash value except where required by law. Payments are processed by Paddle; Minerva does not receive or store your full card details.
9. Acceptable use
You will not misuse the service, attempt to breach security or tenant isolation, reverse-engineer non-public components, scrape at abusive rates, or use the service to provide regulated financial advice to third parties.
10. Disclaimers and limitation of liability
The service is provided “as is” and “as available” without warranties of any kind to the fullest extent permitted by law. Market and reference data may be delayed, incomplete, or subject to vendor restrictions. To the fullest extent permitted by law, Minerva’s aggregate liability arising out of or relating to the service will not exceed the greater of (a) the amounts you paid Minerva in the twelve months before the event giving rise to the claim, or (b) US$100. Minerva is not liable for indirect, incidental, special, consequential, or punitive damages, for lost profits or lost data, or for trading losses or for decisions you make using the service.
Nothing in these terms limits liability that cannot be limited under applicable mandatory consumer law (including for death or personal injury, fraud, or your statutory rights).
11. Dispute resolution; binding arbitration; class-action waiver
Please read this section carefully — it affects how disputes are resolved and limits your right to go to court or participate in a class action. This Section 11 applies to the maximum extent permitted by applicable law and does not apply where prohibited, or to consumers to the extent mandatory local law gives them non-waivable rights to their local courts (including, as described in Section 12, consumers resident in the EU and UK).
Informal resolution first. Before starting an arbitration or court proceeding, you agree to contact us at info@minerva1.com and give us 60 days to resolve the dispute informally and in good faith.
Binding arbitration. If we cannot resolve the dispute informally, you and Minerva agree that any dispute arising out of or relating to these Terms or the service will be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its then-current Consumer Arbitration Rules, rather than in court — except that either party may bring an individual claim that qualifies in small-claims court. The Federal Arbitration Act governs the interpretation and enforcement of this Section. The arbitration will be seated in Delaware and conducted in English. For claims under US$10,000, you may elect to have the arbitration conducted by submission of documents only or by telephone or videoconference, without an in-person hearing.
Class-action and jury waiver. Disputes will be arbitrated only on an individual basis. To the fullest extent permitted by law, you and Minerva waive any right to a jury trial and any right to bring or participate in a class, collective, consolidated, or representative action. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that party’s individual claim. If this class-action waiver is found unenforceable as to a particular dispute, that dispute will be severed and resolved in court, but the remainder of this Section will continue to apply.
30-day opt-out. You may opt out of this arbitration agreement by emailing info@minerva1.com with the subject line “Arbitration Opt-Out” within 30 days of first accepting these Terms. Opting out will not affect any other part of these Terms.
12. Changes, termination, governing law
We may update these Terms; material changes require re-acceptance before continued use of affected features. You may stop using the service and close your account at any time from Account → Billing, which also cancels any subscription at the end of the current paid term. We may suspend or terminate your access if you materially breach these Terms, if your use creates legal, security, or payment risk, or if we discontinue the service — with reasonable notice and an opportunity to cure where practicable. Termination does not refund fees already paid except as set out in the Refund/Credit Policy, and unused credits remain redeemable while your account is open. These Terms are governed by the laws of the State of Delaware, excluding conflict-of-laws rules. Nothing in these Terms removes mandatory consumer rights you have under the laws of your country of residence (including, for EU/UK consumers, statutory withdrawal and conformity rights). If you are a consumer resident in the EU or UK, you also benefit from the mandatory protections of your country of residence and may bring proceedings in your local courts.
